Chapter 7 The Board of Supervisors

Article 37 The Bar Association shall set up a board of supervisors. The board of supervisors shall be responsible and report its work to the lawyers' representative assembly, and shall perform its supervisory duties within the following scope:

(1) supervise the implementation by the board of directors and the secretariat of the congress;

(II) supervise the collection and use of membership dues;

(III) suggest to the board of directors to hold a temporary session of the lawyers' representative assembly;

(IV) attend meetings of the board of directors and meetings of all special committees as nonvoting delegates, and perform supervisory duties;

(V) perform other supervisory duties stipulated in the articles of association or authorized by the lawyers' representative assembly.

Article 38 The board of supervisors shall have the right to engage professional organizations such as accounting firms to audit the collection and use of membership dues of the Bar Association.

Article 39 The supervisory work of the board of supervisors includes substantive supervision and procedural supervision.

If the resolution, decision or procedure of the board of directors, any special committee or the secretariat is obviously improper or may damage the interests of lawyers, the board of supervisors shall issue supervisory opinions to the relevant body.

The relevant body shall give a written reply to the board of supervisors within 10 days after receiving the supervisory opinions, notifying them of action plans. If the board of supervisors fails to receive action plans from relevant organizations within 10 days after it issues supervisory opinions on the same matter twice, or the board of supervisors is not satisfied with the action plans, upon consent of a two- thirds majority of all the supervisors, the board of supervisors shall make a resolution on the matter and report it to the lawyers' representative assembly. During the recess of the lawyers' congress, the lawyers' delegation shall be notified.

Article 40 The supervisors of the Bar Association shall be elected by the lawyers' representative assembly from the representatives. The president, deputy president, council members, secretary-general, deputy secretary-general, and chief financial officer of the Bar Association shall not serve as supervisors.

The term of a supervisor is the same as that of a director, with no more than two consecutive terms.

Article 41 The board of supervisors shall have a chief supervisor elected from supervisors. The term of office of the chief supervisor is the same as that of the president.

The chief supervisor is responsible for convening and presiding over meetings of the board of supervisors and attending meetings of the board of directors.

The name list of the chief supervisor shall be reported to the Shanghai Municipal Bureau of Justice and All China Lawyers Association for record.

Article 42 The board of supervisors shall hold at least one meeting every three months.

Article 43 Supervisors shall abide by laws, regulations, and the articles of association, and perform the obligations of good faith and diligence.

Article 44 The board of supervisors shall carry out its work according to the articles of association and the working rules of the board of supervisors.
